NO PURCHASE OR PAYMENT IS NECESSARY TO ENTER OR WIN.  A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING.

THIS CHALLENGE IS INTENDED FOR PLAY IN THE UNITED STATES AND CANADA (EXCLUDING QUEBEC) ONLY AND WILL BE GOVERNED BY U.S. LAW.  DO NOT ENTER IF YOU ARE NOT ELIGIBLE AND LOCATED IN THE UNITED STATES OR CANADA (EXCLUDING QUEBEC) AT THE TIME OF ENTRY.

1. DESCRIPTION : The “Reebok Presents CrossFit Games Pick’Em 2018” challenge ("Challenge") is an online CrossFit Games prediction Challenge. The Challenge sponsor is Reebok International Ltd. (“Sponsor”).

The Challenge is based on the results of the 2018 CrossFit Games being held August 1-5, 2018 (the “CrossFit Games”). “Entrants” (as defined below) will be awarded points by correctly predicting the top finishers of the Individual Men’s, Individual Women’s and Team competitions (“Prediction”) as detailed below. Prizes will be awarded to those Entrants who have accumulated the most points during the Challenge as described below. In the event an Entrant submits a “Perfect Prediction” whereby he/she accurately predicts the exact outcome of the top 10 Individual Men’s finishers, top 10 Individual Women’s finishers, and top 5 Team finishers, he/she will be eligible to win the Grand Prize (as defined below). Limit: a maximum of one (1) Challenge entry per person per  e-mail address.

· Entrants must make their Predictions between Monday, July 2, 2018 at 12:01 a.m. Eastern Time (“ET”) and Tuesday, July 31, 2018 at 11:59 p.m. ET (the “Selection Period”). Sponsor’s computer is the official time-keeping device for this Challenge.

2. ELIGIBILITY: Challenge is open only to legal residents of Canada (excluding Quebec) and the fifty (50) United States and Washington D.C., who are at least eighteen (18) years of age or the age of legal majority in their state (19 in AL and NE, 18 in all other states) or province of primary residence at time of entry (“Entrant”). Each Entrant must be the rightful owner of the e-mail address identified in the Entrant's entry at the time of registration. Should multiple users of the same e-mail account enter the Challenge and a dispute thereafter arise regarding the identity of the Entrant, the authorized account holder of said e-mail account at the time of entry will be considered the Entrant.  “Authorized account holder” is defined as the natural person who is assigned an e-mail address by an Internet access provider, on-line service provider or other organization which is responsible for assigning e-mail addresses or the domain associated with the submitted e-mail address. Employees, shareholders, officers, directors, agents, and representatives of Sponsor, CrossFit, Inc., and each of their respective parent companies, affiliates, divisions, subsidiaries, agents, successors, assignees, representatives and promotion and advertising agencies, together with the Immediate Family Members and/or Household Members of such persons, are also not eligible to participate in the Challenge. The CrossFit Games Demo Team and any persons competing in the CrossFit Games as an individual or on a team, together with the Immediate Family Members and/or Household Members of such persons, are not eligible to participate in the Challenge. Challenge void in Quebec and where prohibited. For purposes of the Challenge, “Household Members”shall mean those people who share the same residence at least three (3) months a year and “Immediate Family Members” shall mean parents, step-parents, legal guardians, children, step-children, siblings, step-siblings, or spouses.

3. HOW TO REGISTER AND SELECT PICKS: To participate in the Challenge, go to: https://www.reebok.com/PickEm (the “Website”) during the Selection Period and follow the instructions to create a Challenge account.  After creating a Challenge account, Entrants must log-in to their Challenge account during the Selection Period and predict the exact outcome of the top 10 Individual Men’s finishers, top 10 Individual Women’s finishers, and top 5 Team finishers of the CrossFit Games. After completing Predictions, Entrants will then be asked to enter their best guess for how many points the First Place Individual Woman will have at the end of the CrossFit Games (0-2000) (“Tie-Breaker Question”). If Entrants wish to make changes to their selections, they may go back and change a selection at any time during the Selection Period. No changes or revisions to the Predictions will be permitted after the close of the Selection Period. ELIGIBLE ENTRANTS MUST SUBMIT THEIR PREDICTIONS IN ACCORDANCE WITH THESE OFFICIAL RULES. NO OTHER METHOD OF SUBMISSION WILL BE ACCEPTED.

4. SCORING: Entrants will earn points based on correct prediction of the top 10 Individual Men’s winners, top 10 Individual Women’s winners, and top 5 Team winners of the CrossFit Games. A maximum of two thousand five hundred (2500) points can be earned if all winners are predicted correctly. Challenge points will be awarded as follows:

At the conclusion of the CrossFit Games, Entrants scores will be calculated and prizes will be awarded to the top scoring Entrants as described above.  In the event of a tie, ties will be broken in the following order (the “Tie-Breaker Process”):

· Tie-breaker #1 – Answer to the Tie-Breaker Question (i.e., closest guess as to how many points the First Place Individual Woman had at the end of the CrossFit Games).  If there is still a tie after Tie-breaker #1, Sponsor will proceed with Tie-breaker #2. 

· Tie-breaker #2 – Total number of points the Entrant scored for the Individual Women’s competition. If there is still a tie after Tie-breaker #2, Sponsor will proceed with Tie-breaker #3. 

· Tie-breaker #3 – Total number of points the Entrant scored for the Individual Men’s competition. If there is still a tie after Tie-breaker #3, Sponsor will proceed with Tie-breaker #4.

· Tie-breaker #4 – Total number of points the Entrant scored for the Team competition.

If there is still a tie after Tie-breaker #4, Sponsor will conduct a random drawing among the tied Entrants to determine who will be the potential prize winner. 

By way of example only, if Entrant 1 and Entrant 2 have the two highest scores and their scores are identical, Sponsor will then proceed to Tie-breaker #1.  If the First Place Individual Woman had 1250 points at the end of the CrossFit Games, Entrant 1 predicted 1275 points and Entrant 2 predicted 900 points, Entrant 1 would win the Tie-Breaker Process.  If Entrant 1 predicted 1200 points and Entrant 2 predicted 1300 points, Sponsor would then proceed to Tie-breaker #2.

The Tie-Breaker Process will be applicable for all prize levels, including the Grand Prize. By way of example only, if two Entrants submit a Perfect Prediction, the Entrant that wins the Tie-Breaker Process shall be deemed the Grand Prize winner, and the other Entrant shall be deemed the First Prize winner.  LIMIT ONE (1) ENTRY PER PERSON.

5. WINNER SELECTION AND NOTIFICATION: The Grand Prize will only be awarded in the event that an Entrant submits a Perfect Prediction. In the event no Entrant has submitted a Perfect Prediction, the Entrant with the highest point score at the end of the Challenge (or tie-breaker, if applicable) will be declared the First Prize winner, pending eligibility verification. Potential winners will be notified via email at the email address listed in their Challenge registration on or about August 6, 2018. Selected winners will be required to respond (as directed) to the notification within seventy-two (72) hours of first attempted notification. The failure to respond timely to the notification may result in forfeiture of the prize. Any potential winner who is a resident of Canada will be required to correctly answer, without assistance of any kind, whether mechanical or otherwise, a time-limited mathematical skill-testing question administered online or offline in order to be awarded a prize. Prize winners will be required to verify eligibility and to execute and return within five (5) days an affidavit of eligibility, a liability release and a publicity release and any other documents reasonably requested by Sponsor (collectively, the “Prize Claim Documents”) covering eligibility, liability, advertising, publicity and media appearance issues, unless prohibited by law. For the Grand Prize winner, Interactive Promotions Group (“IP Group”) may conduct a reasonable investigation, including but not limited to requiring the potential Grand Prize winner to participate in a polygraphic examination, if, in the sole opinion of IP Group, such an examination is warranted by the facts. The Prize winners, if U.S. residents, must provide Sponsor with a valid social security number for tax reporting purposes before the prize will be awarded. An IRS Form 1099 will be issued in the name of the U.S. Prize winners. The failure of any winner to respond timely to the notification or to provide the Prize Claim Documents within the five (5) day period may result in forfeiture of the prize and, in such case, Sponsor may re-award the prize to an alternate winner according to point scores. Prizes will not be awarded until all such properly executed forms are returned.   Odds of winning are dependent on the number of eligible entries received and their point scores based on the outcome of the CrossFit Games. 

6. PRIZES:

Grand Prize -

Perfect Prediction ONLY

The Grand Prize will only be awarded in the event that an Entrant submits a Perfect Prediction. If no Entrant submits a Perfect Prediction, the Grand Prize will not be awarded. One (1) Grand Prize winner (if applicable) shall win $2,000,000USD, awarded in the form of a check, payable to the winner.  Winner cannot assign the cash payments.  Sponsor’s only obligation is to pay the winner.

First Prize – Your Dream Gym Package

1st Highest Point Total

The First Prize winner will receive:

  • Rogue Home Gym Package (awarded in the form of a $10,000 gift card to Rogue Fitness).
  • $1,000 USD Reebok.com gift card.

Total Approximate Retail Value (“ARV”) of First Prize: $11,000 USD

Total ARV of all prizes: $2,011,000. Limit one (1) prize per person.  Limit one (1) prize per household. ALL FEDERAL, STATE, PROVINCIAL AND LOCAL TAXES, AND ANY OTHER COSTS AND EXPENSES, ASSOCIATED WITH THE RECEIPT OR USE OF ANY PRIZE ARE THE SOLE RESPONSIBILITY OF THE WINNER. Prize winners cannot assign or transfer any prize to another person. No prize substitution is allowed except at the discretion of Sponsor. If a prize cannot be awarded due to circumstances beyond the control of the Sponsor, a substitute prize of equal or greater retail value may be awarded. Make and model of gym packages shall be determined by Sponsor. Coupons and tickets are subject to the terms and conditions listed thereon. Gift cards are subject to the terms and conditions set by the issuer. The ARV of any prize represents Sponsor’s good faith determination of the maximum retail value thereof. The ARV of any prize is subject to price fluctuations in the consumer marketplace based on, among other things, any gap in time between the date the ARV is estimated for purposes of these Official Rules and the date the prize is awarded or redeemed. Winners acknowledge that the Released Parties (as defined below) have not made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to any prize, including but not limited to its quality, mechanical condition or fitness for a particular purpose.  Any and all warranties and/or guarantees on a prize (if any) are subject to the respective manufacturers’ terms therefore, and winners agree to look solely to such manufacturers for any such warranty and/or guarantee.   Other restrictions may apply.   

7. CONDITIONS OF PARTICIPATION/RELEASES : This Challenge is subject to all applicable federal, state, provincial and local laws and regulations. By participating, each Entrant agrees to be bound by these Official Rules and the decisions of the Sponsor, which shall be final in all respects. By participating in this Challenge and/or by accepting any prize, each Entrant agrees to release and indemnify the Sponsor, CrossFit, Inc., IP Group, Rogue Fitness; each of their respective parent, subsidiary and affiliated companies, units and divisions and advertising and promotional agencies, promotion partners and prize suppliers; each of their respective officers, directors, agents, representatives and employees; and each of these companies and individuals' respective successors, representatives and assigns (collectively, the "Released Parties") from any and all actions, claims, injury, loss or damage arising in any manner, directly or indirectly, from participation in this Challenge and/or acceptance, use, or misuse of any prize. Acceptance of a prize authorizes the Sponsor, IP Group and their assigns to use his/her name, voice, likeness, biographical data, city and state of residence and entry materials in programming or promotional material, throughout the universe in perpetuity, or on a winner's list, if applicable, without further compensation unless prohibited by law. Sponsor is not obligated to use any of the above-mentioned information or materials, but may do so and may edit such information or materials, at the Sponsor’s sole discretion, without further obligation or compensation. By entering the Challenge, Entrants agree that: (1) any and all disputes, claims, and causes of action arising out of or connected with the Challenge, or any prizes awarded, shall be resolved individually, without resort to any form of class action; (2) any and all claims, judgments and awards shall be limited to actual out‑of‑pocket costs incurred, including costs associated with entering the Challenge, but in no event will Entrant’s attorneys’ fees be awarded or recoverable; and (3) under no circumstances will any Entrant be permitted to obtain any award for, and Entrant hereby knowingly and expressly waives all rights to seek, punitive, incidental or consequential damages and/or any other damages, other than actual out‑of‑pocket expenses, and/or any and all rights to have damages multiplied or otherwise increased. The Released Parties shall not be liable for: (i) late, lost, delayed, stolen, misdirected, postage-due, incomplete, unreadable, inaccurate, garbled or unintelligible entries, communications or affidavits, regardless of the method of transmission; (ii) telephone system, telephone or computer hardware, software or other technical or computer malfunctions, lost connections, disconnections, delays or transmission errors; (iii) data corruption, theft, destruction, unauthorized access to or alteration of entry or other materials; (iv) any injuries, losses or damages of any kind caused by the prize or resulting from acceptance, possession, use or misuse of a prize, or from participation in the Challenge; (v) the Entrant’s claim that he or she has somehow been defamed or portrayed in a false light or (vi) any printing, typographical, human administrative or technological errors in any materials associated with the Challenge. Sponsor assume no responsibility for any damage to an Entrant’s computer system, which is occasioned by accessing the Website, or participating in the Challenge, or for any computer system, phone line, hardware, software or program malfunctions, or other errors, failures, delayed computer transmissions or network connections that are human or technical in nature, or for the incorrect or inaccurate capture of information, or the failure to capture any information. Sponsor reserves the right, in its sole discretion, to cancel, modify or suspend the Challenge (or any portion of the Challenge) should a virus, bug, computer problem, unauthorized intervention or other cause or problem corrupt or inhibit the administration, security or proper play of the Challenge and, in such situation, to select the winner(s) from eligible non-suspect entries received prior to and/or after such action or in such manner as deemed fair and appropriate by the Sponsor. Sponsor may prohibit an Entrant from participating in the Challenge and/or winning a prize if, in Sponsor’s sole discretion, Sponsor determines the Entrant is attempting to undermine the legitimate operation of the Challenge by cheating, hacking, deception, or any other unfair playing practices (including, without limitation, intending to annoy, abuse, bribe, threaten or harass any other Entrants or Sponsor representatives). Automated submissions are prohibited, and any use of automated devices will result in disqualification.  Sponsor reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process.  CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CHALLENGE MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND WILL RESULT IN DISQUALIFICATION FROM PARTICIPATION IN THE CHALLENGE. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY’S FEES) TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

8. GOVERNING LAW: ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THESE OFFICIAL RULES, OR THE RIGHTS AND OBLIGATIONS OF ENTRANTS OR THE SPONSOR IN CONNECTION WITH THE CHALLENGE OR IN CONNECTION WITH ANY SUBMISSION OR OTHER MATERIAL SUBMITTED IN CONNECTION WITH THE CHALLENGE, SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE INTERNAL LAWS OF THE COMMONWEALTH OF MASSACHUSETTS WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OF CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER STATE’S, PROVINCE’S OR COUNTRY’S LAWS. THE INVALIDITY OR UNENFORCEABILITY OF ANY PROVISION OF THESE RULES SHALL NOT AFFECT THE VALIDITY OR ENFORCEABILITY OF ANY OTHER PROVISION. IN THE EVENT THAT ANY PROVISION IS DETERMINED TO BE INVALID OR OTHERWISE UNENFORCEABLE OR ILLEGAL, THESE RULES SHALL OTHERWISE REMAIN IN EFFECT AND SHALL BE CONSTRUED IN ACCORDANCE WITH THEIR TERMS AS IF THE INVALID OR ILLEGAL PROVISION WERE NOT CONTAINED HEREIN.

IN NO EVENT WILL THE RELEASED PARTIES BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF ENTRANT’S PARTICIPATION IN THE CHALLENGE. WITHOUT LIMITING THE FOREGOING, THE CHALLENGE AND THE WEBSITE ARE PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND THE SPONSOR HEREBY EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT . SOME JURISDICTIONS MAY NOT ALLOW LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CHALLENGE MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE RIGHT IS RESERVED TO SEEK DAMAGES TO THE FULLEST EXTENT OF THE LAW.

9. ARBITRATION PROVISION: By participating in this Challenge, each Entrant agrees that any and all disputes the Entrant may have with, or claims Entrant may have against, the Released Parties relating to, arising out of or connected in any way with (i) the Challenge, (ii) the awarding or redemption of any prize, and/or (iii) the determination of the scope or applicability of this agreement to arbitrate, will be resolved individually and exclusively by final and binding arbitration administered by the National Arbitration Forum (the “Forum”) and conducted before a sole arbitrator pursuant to the Code of Procedure established by the Forum. The arbitration shall be held at a location determined by the Forum pursuant to the Code of Procedure (or at such other location as may be mutually agreed upon by the Entrant and Sponsor). The arbitrator’s decision shall be controlled by the terms and conditions of these Official Rules and any of the other agreements referenced herein that the applicable Entrant may have entered into in connection with the Challenge. There shall be no authority for any claims to be arbitrated on a class or representative basis; arbitration can decide only the Entrant’s and/or Sponsor’s individual claims and the arbitrator may not consolidate or join the claims of other persons or parties who may be similarly situated. The arbitrator shall not have the power to award special or punitive damages against the Entrant or Released Parties. For more information on the Forum and/or the Forum's Code of Procedure, please visit their website at www.adrforum.com. If any part of this Arbitration Provision is deemed to be invalid or otherwise unenforceable or illegal, the balance of this Arbitration Provision shall remain in effect and shall be construed in accordance with its terms as if the invalid or illegal provision were not contained herein.

10. GAMBLING PROHIBITION: This Challenge is strictly for entertainment purposes and may not be used in connection with any form of gambling.

11. PRIVACY POLICY: Information collected from Entrants is subject to the Sponsor’s Privacy Policy, available at http://www.reebok.com/us/Privacy+Policy.html (United States) and http://www.reebok.ca/en/help-topics-privacy_policy.html (Canada). By submitting a Challenge entry, each Entrant consents to the terms of the Privacy Policy applicable to Entrant’s place of residence. If you are selected as a winner, your information may also be included in a publicly-available winner’s list.
